Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the QuotePanter website, mobile application and related services (the "Services") provided by QuotePanter ("QuotePanter", "we", "us" or "our"). By creating an account, downloading the app or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Subscription and billing

  • Paid plans start at $19.99 per month. Prices, features and limits may change with notice.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by law.
  • Taxes may apply based on your location.

3. Acceptable use

You agree not to:

  • Use the Services for any unlawful, harmful or fraudulent purpose.
  • Reverse-engineer, decompile or attempt to extract source code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Upload content that infringes third-party rights or violates applicable law.
  • Resell, sublicense or provide the Services to third parties without permission.

4. Your content

You retain ownership of the voice notes, photos, project data, estimates and other materials you submit ("Your Content"). You grant QuotePanter a worldwide, non-exclusive, royalty-free license to host, process and display Your Content solely to provide and improve the Services. You represent that you have all rights necessary to submit Your Content.

5. AI-generated estimates

QuotePanter uses artificial intelligence to help generate estimates. Outputs are suggestions based on your inputs and may contain errors or omissions. You are solely responsible for reviewing, adjusting and approving every estimate before sending it to a customer or acting on it. QuotePanter is not a substitute for professional judgment.

6. Intellectual property

The Services, including all software, design, text, graphics and trademarks, are owned by QuotePanter or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

7. Third-party services

The Services may integrate with third-party platforms (e.g., app stores, payment processors, analytics). Your use of those services is subject to their own terms and policies. We are not responsible for third-party services.

8. Termination

We may suspend or terminate your access to the Services at any time for any breach of these Terms or for any legitimate business reason. You may stop using the Services and cancel your subscription at any time. Sections that by their nature should survive termination will survive.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR THAT ESTIMATES WILL BE ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTEPANTER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold QuotePanter harmless from any claim, damage or expense (including reasonable attorneys' fees) arising out of your use of the Services, Your Content or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The exclusive venue for any dispute will be the state or federal courts located in Delaware, unless otherwise required by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through the app or by email. Continued use after changes take effect constitutes acceptance.
